Terms of Use and End-User License Agreement
These terms govern the use of the Home CareTakers software (the "Service"): the client portal at clients.homecaretakersllc.com, the office platform at admin.homecaretakersllc.com, and any related pages, downloads, and messages. By signing in to or using the Service you agree to these terms. The Service supports, and does not replace, the written Service Agreement between Home CareTakers, LLC ("Home CareTakers", "we", "us") and each homeowner; where the two differ on fees or the scope of our work, the Service Agreement controls.
1. Your license to use the Service
We grant you a personal, non-transferable, revocable license to use the Service for its intended purpose: homeowners and the people they designate may view their inspection reports, documents, invoices, Reserve statements, and messages, and may send us requests; our staff may use the office platform to carry out their work. The Service and its software remain the property of Home CareTakers and its licensors. You may not copy, modify, resell, reverse engineer, or make the Service available to others, except as these terms allow.
2. Accounts
Portal access is issued by us to a homeowner and to the people the homeowner names. You are responsible for keeping your password private and for what is done under your sign-in. Tell us right away if you believe your account has been used without permission. We may suspend or close an account that is being misused, and we close portal access when our work for a home ends.
3. Acceptable use
You agree not to use the Service to break the law, to interfere with its operation or security, to probe or test it without our written permission, to upload malicious code, or to access another person's information. Access codes and similar details shown in the Service are confidential and may be shared only with people who are entitled to them.
4. Your content
You keep ownership of the information, documents, and photographs you give us. You give us permission to store and use them to provide the Service and to carry out our work for you, as described in our Privacy Policy. Inspection reports, client reports, and other records we create are ours; you may keep and use copies for your own purposes.
5. Fees and payment
Our fees are set out in your Service Agreement and on each monthly invoice. Invoices are due fourteen days after they are sent. Payment is by Zelle or check; we do not accept credit cards. A past-due invoice carries the late fee and interest stated on the invoice. Money we hold for a homeowner as a Reserve or prepayment is the homeowner's money, is kept apart from our own, and is accounted for on the Reserve statement in the portal.
6. Availability and changes
We work to keep the Service available and accurate, but it is provided "as is" and "as available". We may change, add to, or retire features, and we may interrupt the Service for maintenance. The Service may show figures that are later corrected; the signed Service Agreement and our written invoices are the record of what is owed.
7. Disclaimer and limitation of liability
To the extent the law allows, we make no warranties about the Service, express or implied, including fitness for a particular purpose. We are not liable for indirect, incidental, special, or consequential damages arising from use of the Service, and our total liability relating to the Service in any twelve-month period is limited to the fees you paid us for that period. Nothing in these terms limits liability that cannot be limited by law, or the obligations we owe you under your Service Agreement.
8. Ending use
You may stop using the Service at any time. We may end or suspend your access if you break these terms or when our work for the home ends. Sections 4, 5, 7, and 9 survive the end of your use.
9. Governing law
These terms are governed by the laws of the State of Arizona, without regard to its conflict-of-law rules. Any dispute about the Service will be brought in the state or federal courts located in Pima County, Arizona, and you agree to their jurisdiction.
10. Changes to these terms
We may update these terms from time to time. The current version is always at this address with its effective date. Continued use of the Service after a change means you accept the new terms; if you do not, stop using the Service and tell us.
